Where you use Auxi Sherpa on behalf of a company, organization, partnership, or other business entity, you confirm that you have the authority to bind that entity to these Terms. In that situation, "you", "your", or "Business Owner" includes both you and the entity you represent.

Auxi Sherpa is an AI-powered business operating system intended to help business owners and organizations use technology and artificial intelligence to improve business operations.

Depending on the service or plan selected, Auxi Sherpa may provide access to services including, but not limited to:

• AI assistants
• Website creation and development
• Website management
• Business automation
• Workflow automation
• Marketing automation
• Content creation support
• Social media support
• Lead-generation support
• Customer communication tools
• Business process optimization
• AI-powered business tools
• Business setup assistance
• Business documentation support
• Digital marketing services
• Customer support automation
• Sales and marketing automation
• AI consulting
• Business strategy support
• Training and educational resources
• Templates, guides, and business resources
• Third-party integrations
• Software and technology services
• Other AI-enabled business services introduced by Auxi Sherpa from time to time

Not every feature is available to every customer. Services, features, usage limits, pricing, availability, and eligibility may depend on the plan or service purchased.

To use Auxi Sherpa, you must:

• Be legally capable of entering into a binding agreement
• Provide accurate and complete information when creating your account
• Have the authority to use the business information, content, systems, accounts, and materials you provide to Auxi Sherpa
• Comply with all applicable laws and regulations
• Maintain the security of your account credentials
• Use the Platform only for legitimate business purposes

If you are using Auxi Sherpa on behalf of a business, you represent that you have the necessary authorization to do so.

Auxi Sherpa may refuse service where use of the Platform would create legal, regulatory, operational, security, or reputational concerns.

Certain Auxi Sherpa Services may require you to create an account.

You agree to provide truthful, accurate, current, and complete information during registration and to keep that information updated.

You are responsible for:

• Maintaining the confidentiality of your login details
• Protecting your password
• Preventing unauthorized access to your account
• Reviewing activity associated with your account
• Informing Auxi Sherpa promptly if you suspect unauthorized access
• Ensuring that individuals accessing your account are authorized by you

You are responsible for all activity conducted through your account unless the activity resulted directly from a security failure attributable to Auxi Sherpa.

Auxi Sherpa is not responsible for losses resulting from your failure to secure your account credentials.

Auxi Sherpa provides technology, AI tools, automation, and support. However, you remain responsible for your business.

You are solely responsible for:

• Your business decisions
• Your business model
• Your pricing
• Your products and services
• Your customers
• Your employees and contractors
• Your suppliers
• Your legal and regulatory compliance
• Your taxes
• Your licenses and permits
• Your business registrations
• Your financial decisions
• Your advertising claims
• Your communications with customers
• Your use of AI-generated content
• Your websites and published information
• Your business data
• Your third-party accounts
• Your actions taken based on AI recommendations

Auxi Sherpa does not become the owner, manager, director, partner, employee, legal representative, accountant, lawyer, or financial adviser of your business merely because you use its Services.

Auxi Sherpa uses artificial intelligence and may integrate with third-party AI models, software, APIs, databases, automation systems, and other technologies.

AI-generated information can contain errors, omissions, inaccuracies, outdated information, biased outputs, or inappropriate recommendations.

You acknowledge that AI-generated outputs should be reviewed by a qualified human before being used for important business, legal, financial, employment, medical, regulatory, or other high-impact decisions.

Auxi Sherpa does not guarantee that:

• AI-generated information will always be accurate
• AI-generated content will always be original
• AI outputs will be suitable for your particular business
• AI recommendations will produce a particular financial result
• AI tools will always be available
• AI systems will never produce incorrect information
• AI-generated content will always comply with industry-specific requirements
• AI-generated material will be accepted by customers, regulators, search engines, advertising platforms, or other third parties

You remain responsible for reviewing and approving AI-generated material before publication or use.

Auxi Sherpa is designed to help businesses use AI and technology more effectively.

However, Auxi Sherpa does not guarantee:

• Increased revenue
• Increased profits
• Increased website traffic
• Increased leads
• Increased customers
• Increased conversion rates
• Improved search-engine rankings
• Successful advertising campaigns
• Successful funding applications
• Successful business registrations
• Successful visa, immigration, licensing, or regulatory applications
• Successful sales campaigns
• Business growth
• A specific return on investment
• A specific number of customers
• A specific amount of revenue
• Any other specific business outcome

Results depend on many factors outside Auxi Sherpa's control, including market conditions, competition, pricing, business execution, customer demand, advertising budgets, industry regulations, economic conditions, and the quality of information supplied by the Business Owner.

Where Auxi Sherpa provides website development or website-related services, the exact scope of work will depend on the service purchased.

Website services may include:

• Website design
• Website development
• Landing pages
• Business websites
• E-commerce functionality
• Forms
• Booking functionality
• AI features
• Automation
• Integrations
• Content placement
• Basic search-engine optimization
• Website maintenance
• Website updates
• Other agreed services

Unless specifically stated in your service agreement, subscription, or order, Auxi Sherpa does not guarantee unlimited website revisions, unlimited development work, unlimited storage, unlimited traffic, or unlimited third-party integrations.

You are responsible for reviewing website content before publication and confirming that all business information is accurate.

Website services may depend on third-party providers for:

• Domain registration
• Website hosting
• Cloud infrastructure
• Email services
• Payment processing
• AI services
• Analytics
• Messaging
• Social media
• CRM systems
• Automation platforms
• Advertising platforms
• Search engines
• Other technology services

Third-party services may have their own terms, pricing, limitations, outages, policies, and technical requirements.

Auxi Sherpa is not responsible for failures caused by third-party providers.

If a third-party service changes its pricing, functionality, availability, policies, or API access, Auxi Sherpa may need to modify, replace, suspend, or discontinue an affected feature.

Auxi Sherpa may provide automated workflows that perform actions on your behalf. Examples may include:

• Sending messages

• Updating records

• Processing customer inquiries
• Triggering business workflows
• Updating CRM records

You acknowledge that automation can produce unintended results if information, rules, integrations, or instructions are incorrect.

You are responsible for reviewing automation workflows before activating them and for monitoring automated processes where appropriate.

You must not configure Auxi Sherpa automation to conduct unlawful, deceptive, fraudulent, abusive, discriminatory, or unauthorized activity.

Where Auxi Sherpa provides marketing assistance, the Services may include content generation, campaign support, social media content, email marketing, advertising assistance, lead-generation support, or related activities.

You are responsible for ensuring that your marketing activities comply with applicable laws, advertising standards, platform rules, privacy requirements, consumer-protection laws, and industry regulations.

Auxi Sherpa does not guarantee advertising approval, social-media reach, engagement, search-engine rankings, leads, sales, or revenue.

Any marketing claims relating to your products or services must be truthful and capable of being substantiated by you.

Auxi Sherpa may provide assistance with business setup, registration, documentation, planning, or related administrative processes.

Unless expressly stated otherwise, Auxi Sherpa is providing administrative or technology assistance and not acting as your lawyer, accountant, auditor, tax adviser, immigration adviser, investment adviser, or government representative.

Government authorities and other third parties have independent authority to approve, reject, delay, or request additional information regarding applications.

Payment for assistance does not guarantee government approval or registration.

You remain responsible for providing accurate information and documents.

You may provide Auxi Sherpa with information, documents, images, logos, videos, text, customer data, product information, business information, marketing materials, or other content ("User Content").

You retain ownership of your User Content, subject to the rights necessary for Auxi Sherpa to provide the Services.

By submitting User Content, you grant Auxi Sherpa the limited right to access, process, store, reproduce, modify, transmit, and use that content as reasonably necessary to:

• Provide the Services
• Operate your account
• Complete requested tasks
• Generate requested outputs
• Provide customer support
• Maintain security
• Troubleshoot technical issues
• Comply with applicable law

You represent that you have the necessary rights, permissions, licenses, and authority to provide the User Content.

You must not submit content that you do not have the legal right to use.

If you provide Auxi Sherpa with information relating to your customers, employees, suppliers, leads, or other third parties, you are responsible for ensuring that you have a lawful basis and appropriate permissions to collect, use, transfer, and process that information.

You must not provide unnecessary sensitive personal information to Auxi Sherpa.

Where applicable, you are responsible for providing appropriate privacy notices and obtaining legally required consents.

If you use Auxi Sherpa to automate customer communications, you are responsible for ensuring that those communications comply with applicable anti-spam, marketing, privacy, consumer-protection, and communications laws.

The Auxi Sherpa Platform, including its software, interface, branding, logos, designs, systems, technology, documentation, templates, processes, proprietary methods, and underlying infrastructure, is owned by or licensed to Auxi Sherpa and is protected by applicable intellectual-property laws.

You may not:

• Copy the Platform
• Reverse engineer the Platform
• Reproduce proprietary systems
• Sell access to the Platform without authorization
• Distribute proprietary Auxi Sherpa materials
• Remove copyright or proprietary notices
• Attempt to obtain source code
• Create competing products using proprietary Auxi Sherpa materials
• Use Auxi Sherpa intellectual property outside the scope permitted by these Terms

Where Auxi Sherpa creates specific deliverables for you, ownership rights will depend on the applicable service agreement and payment status.

Unless otherwise stated in writing, Auxi Sherpa retains ownership of its underlying:

• Software
• Frameworks
• Automation systems
• Templates
• Libraries
• Code components
• Processes
• AI workflows
• Prompts
• Internal tools
• Methodologies
• Proprietary technology

Where you have paid for a custom deliverable and the applicable service specifically grants you ownership or a license, those rights will apply only to the extent expressly agreed.

Third-party components remain subject to their respective licenses.

You agree to use Auxi Sherpa only for lawful and legitimate purposes.

You must not use Auxi Sherpa to:

• Commit fraud
• Conduct scams
• Impersonate individuals or businesses
• Misrepresent products or services
• Send unlawful spam
• Conduct phishing
• Distribute malware
• Attack or compromise computer systems
• Circumvent security controls
• Harass or threaten people
• Discriminate unlawfully
• Infringe intellectual-property rights
• Violate privacy rights
• Create deceptive advertising
• Manipulate reviews or ratings
• Conduct illegal financial activity
• Facilitate criminal activity
• Create unauthorized accounts
• Scrape or collect information unlawfully
• Abuse APIs or system resources
• Resell Services without authorization
• Attempt to disrupt the Platform
• Use the Platform to develop competing technology using protected Auxi Sherpa materials
• Engage in any activity prohibited by applicable law

Auxi Sherpa may suspend or terminate accounts that violate these requirements.

You must not use Auxi Sherpa to generate, store, distribute, or facilitate content that is unlawful or materially harmful.

Auxi Sherpa may restrict content involving:

• Fraud
• Scams
• Malware
• Unauthorized surveillance
• Exploitation
• Abuse
• Illegal activity
• Intellectual-property infringement
• Non-consensual personal information
• Deceptive impersonation
• Harmful manipulation
• Other prohibited activities

Auxi Sherpa may take reasonable action to protect the Platform, users, third parties, and service providers.

You agree to pay all fees associated with the Services you purchase.

Prices may be displayed in the applicable currency at the time of purchase.

Unless otherwise stated:

• Fees are due according to the payment schedule presented at checkout or in your agreement
• Subscription fees may recur automatically
• Taxes, government fees, third-party charges, domain fees, hosting fees, and similar costs may be charged separately where applicable
• Failed payments may result in suspension of Services
• Additional work outside the agreed scope may incur additional fees

Auxi Sherpa reserves the right to change pricing for future purchases or subscription periods.

Changes to recurring subscription prices will be communicated where required by applicable law.

Some Auxi Sherpa Services may be provided through monthly, annual, weekly, or other recurring subscriptions.

Unless otherwise stated, subscriptions automatically renew at the end of each billing period until cancelled.

You authorize Auxi Sherpa or its payment provider to charge the applicable recurring fee using your selected payment method.

You are responsible for cancelling your subscription before the next billing date if you do not wish to renew.

Cancellation generally prevents future charges but does not automatically reverse charges already processed.

Refund eligibility depends on the specific service purchased, the applicable refund policy, and applicable law.

Because some Auxi Sherpa Services involve immediate access to digital services, software, AI resources, customized work, development, setup, or third-party services, certain purchases may be non-refundable once work has commenced or access has been provided.

Where a specific service has its own written refund policy, that policy will apply.

Nothing in this section limits any mandatory consumer rights that cannot legally be excluded.

Auxi Sherpa may occasionally provide free trials, promotional pricing, credits, discounts, bonuses, or special offers.

Promotional offers:

• May have eligibility requirements
• May be limited to new customers
• May be limited to one use per person or business
• May expire
• May not be combined with other promotions
• May be withdrawn or modified where permitted by law

Unless expressly stated, promotional pricing does not permanently reduce the standard price after the promotional period ends.

Auxi Sherpa aims to provide reliable and continuous access to the Platform but does not guarantee uninterrupted availability.

Services may occasionally be unavailable because of:

• Maintenance
• Software updates
• Security measures
• Infrastructure failures
• Internet disruptions
• Third-party outages
• AI provider outages
• API changes
• Cybersecurity incidents
• Force majeure events
• Other circumstances beyond Auxi Sherpa's reasonable control

Auxi Sherpa may modify, update, suspend, or discontinue features where reasonably necessary.

You are responsible for maintaining appropriate backups of important business information.

Although Auxi Sherpa may implement reasonable backup and recovery measures, you should not rely on Auxi Sherpa as your sole backup system unless a specific service agreement expressly provides otherwise.

Auxi Sherpa is not responsible for loss of User Content caused by circumstances outside its reasonable control.

Auxi Sherpa may integrate with external services such as:

• Email providers
• Payment platforms
• CRM systems
• Social networks
• Cloud-storage providers
• AI providers
• Website platforms
• Messaging platforms
• Analytics services
• Advertising platforms
• Other software

Your use of those services is subject to their respective terms and privacy policies.

Auxi Sherpa does not control third-party services and is not responsible for their availability, policies, security, pricing, performance, or changes.

If a third-party integration becomes unavailable, Auxi Sherpa may provide an alternative where reasonably possible but does not guarantee that an equivalent replacement will be available.

Auxi Sherpa may provide customer support through available communication channels.

Support availability, response times, and service levels may depend on your subscription or service package.

Unless expressly included in your plan, customer support does not include unlimited consulting, unlimited technical development, or unlimited business strategy services.

Auxi Sherpa may provide AI-generated recommendations, business suggestions, templates, educational materials, or general information.

These do not constitute professional legal, accounting, tax, financial, medical, immigration, investment, employment, or other regulated professional advice.

You should obtain advice from a qualified professional when your circumstances require it.

Auxi Sherpa may rely on information supplied by you.

You are responsible for ensuring that information provided to Auxi Sherpa is:

• Accurate
• Complete
• Current
• Lawful
• Authorized for use

Auxi Sherpa is not responsible for errors caused by inaccurate, incomplete, outdated, misleading, or unauthorized information supplied by you.

Each party agrees to take reasonable measures to protect confidential information received from the other party.

Confidential information does not include information that:

• Is publicly available
• Was already lawfully known
• Is independently developed
• Is lawfully received from another source
• Must be disclosed by law or valid legal process

Auxi Sherpa may disclose information where reasonably necessary to provide Services through employees, contractors, service providers, technology providers, or other authorized parties, subject to appropriate confidentiality obligations.

Your use of Auxi Sherpa may involve the collection and processing of personal information.

The handling of personal information is governed by the applicable Auxi Sherpa Privacy Policy, together with applicable privacy and data-protection laws.

You should review the Privacy Policy before using the Platform.

Where your business uses Auxi Sherpa to process personal information belonging to customers, employees, or other individuals, you remain responsible for complying with applicable data-protection requirements.

Auxi Sherpa will take reasonable technical and organizational measures appropriate to the nature of the Services to protect information within its control.

However, no online system can be guaranteed to be completely secure.

You acknowledge that cybersecurity risks exist whenever information is transmitted or stored electronically.

You must notify Auxi Sherpa promptly if you become aware of suspected unauthorized access to your account.

If you provide suggestions, recommendations, ideas, feedback, or proposed improvements concerning Auxi Sherpa, you agree that Auxi Sherpa may use such feedback without compensation or obligation to you, provided that doing so does not disclose your confidential information.

Auxi Sherpa may add, modify, improve, replace, suspend, or remove features from the Platform.

Where a significant change materially affects a paid service, Auxi Sherpa will make reasonable efforts to communicate the change where required.

Auxi Sherpa does not guarantee that every feature available at the time of purchase will remain permanently available.

Auxi Sherpa may suspend or restrict your access if:

• You fail to pay required fees
• You violate these Terms
• Your activity creates a security risk
• Your activity threatens the Platform or other users
• You engage in unlawful activity
• You misuse the Services
• You provide materially false information
• Your account is compromised
• Suspension is required by law or a third-party service provider

Where reasonably possible, Auxi Sherpa may provide notice and an opportunity to resolve the issue. However, immediate suspension may occur where necessary to protect users, systems, data, or legal interests.

You may terminate your account or subscription in accordance with the applicable cancellation process.

Auxi Sherpa may terminate or suspend your account where permitted under these Terms.

Termination does not eliminate payment obligations that arose before termination.

Certain provisions of these Terms will continue after termination, including provisions relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions that by their nature should survive termination.

After termination:

• Your access to the Platform may cease
• Active automations may be disabled
• Subscription services may stop
• Certain stored information may be deleted according to applicable policies
• Third-party services may remain subject to their own terms
• Outstanding amounts may remain payable
• Your rights to use Auxi Sherpa proprietary materials may end unless otherwise agreed

You are responsible for exporting any information you need before termination where an export function is available.

To the maximum extent permitted by applicable law, Auxi Sherpa Services are provided on an "as available" and "as is" basis.

Auxi Sherpa does not warrant that the Platform will:

• Always be available
• Always operate without errors
• Meet every business requirement
• Produce completely accurate AI outputs
• Be uninterrupted
• Be free from all bugs or defects
• Produce a particular business outcome
• Be compatible with every device or third-party service
• Remain unchanged indefinitely

Any warranties that cannot legally be excluded remain unaffected.

To the maximum extent permitted by applicable law, Auxi Sherpa and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from your use of the Services.

This may include losses relating to:

• Lost profits
• Lost revenue
• Lost customers
• Lost opportunities
• Lost data
• Business interruption
• Reputational damage
• Failed marketing campaigns
• AI-generated errors
• Third-party service failures
• Website downtime
• Decisions made using information provided through the Platform

To the maximum extent permitted by law, Auxi Sherpa's aggregate liability arising from a claim relating to the Services will not exceed the amount you paid to Auxi Sherpa for the specific Services giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

You agree to defend, indemnify, and hold harmless Auxi Sherpa, its owners, directors, employees, contractors, affiliates, licensors, and service providers from claims, losses, damages, liabilities, costs, and expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of applicable law
• Your User Content
• Your products or services
• Your marketing claims
• Your misuse of automation
• Your violation of another person's rights
• Your unauthorized use of third-party content
• Your business activities

This obligation applies to the extent permitted by applicable law.

Auxi Sherpa will not be responsible for failure or delay caused by circumstances beyond its reasonable control. These may include:

• Natural disasters
• War
• Terrorism
• Government action
• Civil unrest
• Internet infrastructure failures
• Cyberattacks
• Power outages
• Telecommunications failures
• Pandemics
• Labor disputes
• Third-party service failures
• AI provider outages
• Other extraordinary events beyond reasonable control

You are responsible for ensuring that your business complies with all laws and regulations applicable to your activities. Depending on your location and industry, this may include:

• Business registration laws
• Tax laws
• Consumer-protection laws
• Advertising laws
• Data-protection laws
• Employment laws
• Industry-specific regulations
• Intellectual-property laws
• Electronic communications laws
• Licensing requirements

Auxi Sherpa does not guarantee that your use of the Platform automatically makes your business legally compliant.

Auxi Sherpa may be accessible internationally.

You are responsible for ensuring that your use of the Services complies with laws applicable to your location.

Different jurisdictions may impose different requirements regarding privacy, marketing, AI, data processing, taxation, business registration, and consumer protection.

Where applicable, mandatory rights granted to users under local law remain unaffected.

By creating an account or purchasing Services, you may receive operational communications relating to:

• Your account
• Payments
• Security
• Service updates
• Support requests
• Subscription status
• Important changes to the Platform

Marketing communications may be subject to applicable consent and opt-out requirements.

You may unsubscribe from promotional communications where legally required and technically available.

You agree that electronic acceptance, account registration, clicking an acceptance button, completing a purchase, or continued use of the Platform may constitute acceptance of these Terms.

Electronic records may be used as evidence of your agreement and transactions.

The updated version will become effective when published or on the effective date specified in the updated Terms.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or removed only to the extent necessary. The remaining provisions will continue in full force and effect.

If Auxi Sherpa does not immediately enforce a provision of these Terms, that does not mean Auxi Sherpa has waived its right to enforce that provision later.

You may not transfer your rights or obligations under these Terms without prior written authorization from Auxi Sherpa.

Auxi Sherpa may assign or transfer its rights and obligations as part of a merger, acquisition, restructuring, sale of assets, corporate reorganization, or similar transaction.

These Terms, together with applicable order forms, service agreements, subscription details, Privacy Policy, refund policy, and other expressly incorporated policies, constitute the agreement between you and Auxi Sherpa concerning the Services.

If there is a conflict between these Terms and a specific written service agreement, the specific service agreement will control to the extent of the conflict.

These Terms are governed by the laws of the jurisdiction in which Auxi Sherpa operates, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the Services will first be addressed in good faith through direct communication with Auxi Sherpa, and thereafter through the dispute-resolution process specified by Auxi Sherpa or the applicable service agreement.

Where required by applicable law, customers retain the right to bring claims before competent courts or regulatory authorities in their own jurisdiction, and no part of these Terms limits any mandatory legal rights that cannot be waived.

By using Auxi Sherpa, you acknowledge that:

• Auxi Sherpa provides AI-powered technology and business support rather than guaranteed business results
• AI-generated information may contain errors
• You are responsible for reviewing important AI-generated content
• You remain responsible for your business decisions
• You remain responsible for complying with applicable laws
• You are responsible for information and content you provide
• Third-party services may be required for certain features
• Third-party services may have their own terms and limitations
• Subscription services may renew automatically where applicable
• Certain services may be non-refundable after work or access has commenced
• You must not use Auxi Sherpa for unlawful or abusive activities
• You are responsible for protecting your account
• Auxi Sherpa does not guarantee revenue, customers, leads, profits, or other business results
• Your continued use of the Platform constitutes acceptance of these Terms, subject to applicable law
