Auxi Sherpa is intended to provide Business Owners with tools and support that may assist them in running their businesses.

However, using AI, automation, websites, marketing tools, staff, business systems, or any other Auxi Sherpa Service does not guarantee business success.

Business Owners remain solely responsible for their business strategy, decisions, operations, investments, employees, contractors, customers, products, services, pricing, marketing, finances, and legal obligations.

Any examples, case studies, demonstrations, projections, estimates, testimonials, or statements regarding potential results should not be interpreted as a guarantee that you will achieve the same or similar results.

Auxi Sherpa may use artificial intelligence to generate or assist with:

• Business plans;

• Emails;
• Customer communications;
• Documents;
• Reports;
• Recommendations;

Auxi Sherpa may assist Business Owners with business setup, registration, incorporation, licensing, documentation, applications, and related administrative processes.

Business setup services are subject to the requirements, policies, decisions, processing times, and laws of the relevant government authority or jurisdiction.

Auxi Sherpa does not guarantee that:

Auxi Sherpa may provide access to staff hiring support, recruitment assistance, staff recommendations, candidate introductions, virtual staff, contractors, freelancers, employees, consultants, or other personnel.

Any staff recommendation, introduction, matching service, profile, interview arrangement, or recruitment assistance does not guarantee:

• Employment;
• Staff availability;
• Staff suitability;
• Staff qualifications;
• Staff reliability;
• Staff performance;
• Staff productivity;
• Staff honesty;
• Staff compatibility;
• Continued employment; or
• A specific business result.

Business Owners are responsible for determining whether a Staff member is suitable for their business.

Business Owners should conduct appropriate interviews, reference checks, background checks, qualification checks, right-to-work checks, identity verification, and other due diligence where appropriate or required by law.

Business Owners must carefully read and understand any employment contract, contractor agreement, consultancy agreement, service agreement, appointment letter, or other document relating to Staff before accepting or signing it.

Do not accept a Staff contract without reading it.

Where necessary, Business Owners should obtain independent legal or professional advice before entering into an employment or contractor relationship.

Auxi Sherpa providing or facilitating a contract does not constitute legal advice and does not guarantee that the contract satisfies every requirement applicable to the Business Owner's particular jurisdiction or circumstances.

Where a Staff member has been recommended, introduced, assigned, or engaged through Auxi Sherpa, the Business Owner remains responsible for managing that Staff member in accordance with the applicable contract and applicable law.

A Business Owner may request the removal of a Staff member they no longer wish to work with.

Where legally and contractually permitted, the Business Owner may terminate the Staff member's engagement with immediate effect.

Where immediate termination is not permitted, the Business Owner must follow the applicable notice period, contractual procedure, employment requirements, or other legal requirements.

Auxi Sherpa does not authorize a Business Owner to disregard employment contracts or applicable labor laws.

Where a Business Owner recommends, nominates, refers, or requests a particular individual to work with their business through Auxi Sherpa, the Business Owner may subsequently request that the individual be removed from the business or assignment, subject to the applicable contract and applicable law.

A recommendation does not create a permanent entitlement to employment or continued engagement.

Similarly, an individual's introduction through Auxi Sherpa does not guarantee continued employment or assignment.

Where Auxi Sherpa assists individuals or businesses with job applications, recruitment, candidate matching, or employment-related services:

• Submission of a job application does not guarantee employment.
• An application may be rejected, ignored, delayed, or unsuccessful for reasons outside Auxi Sherpa's control.
• Hiring decisions remain with the relevant employer or authorized decision-maker.
• Auxi Sherpa does not guarantee that a candidate will receive an interview, offer, employment contract, visa sponsorship, promotion, salary level, or other employment benefit.

Business Owners are responsible for ensuring that all claims made about their products, services, prices, offers, qualifications, guarantees, and business are accurate and lawful.

Automation can perform actions based on information, rules, triggers, integrations, instructions, and data supplied to the system.

Incorrect information or configuration may result in unintended actions.

Business Owners are responsible for reviewing and approving automation workflows before activating them and for monitoring important automated processes.

Auxi Sherpa does not guarantee that automated processes will always operate without errors, delays, interruptions, or unintended outcomes.

Where Auxi Sherpa provides website development or website-related services, the Business Owner remains responsible for reviewing all website content before publication.

The Business Owner is responsible for ensuring that:

• Business information is accurate;
• Prices are accurate;
• Product descriptions are accurate;
• Contact information is correct;
• Legal notices are appropriate;
• Privacy notices are appropriate;
• Advertising claims are accurate;
• Images and other materials are lawfully used; and
• The website complies with applicable laws.

Auxi Sherpa does not guarantee website traffic, search-engine rankings, conversions, sales, or business growth.

Some Auxi Sherpa features may depend on third-party services, including AI providers, hosting providers, payment processors, social-media platforms, communication services, APIs, cloud services, software providers, and other technology providers.

Third-party services may experience:

• Downtime;
• Technical failures;
• Pricing changes;
• API changes;
• Security incidents;
• Policy changes;
• Service restrictions; or
• Discontinuation.

Auxi Sherpa cannot guarantee the continued availability or functionality of third-party services.

By making a payment for an Auxi Sherpa Service, you confirm your acceptance of the applicable Terms and Conditions.

Unless otherwise expressly stated in an applicable refund policy or required by law, subscription and service fees are non-refundable once the applicable Services have commenced.

Certain Services may begin immediately following payment, including access to digital tools, AI systems, onboarding, website work, automation, staff-related services, consulting, or other work.

Cancellation of a subscription generally prevents future billing but does not automatically create a right to a refund for services already provided or commenced.

Business Owners must provide accurate, complete, current, and truthful information.

Auxi Sherpa may rely on information provided by the Business Owner when delivering Services.

Auxi Sherpa is not responsible for consequences arising from:

• Incorrect information;
• Missing information;
• False information;
• Outdated information;
• Misleading information; or
• Information provided without the necessary authorization.

Auxi Sherpa reserves the right to suspend, restrict, or terminate an account where the Platform is misused.

Misuse may include:

• Fraud;
• Scams;
• Spam;
• Unauthorized access;
• Harassment;
• Abuse;
• Deceptive activity;
• Intellectual-property infringement;
• Security violations;
• Unlawful activity;
• Attempting to interfere with the Platform; or
• Other violations of the Auxi Sherpa Terms and Conditions.

Auxi Sherpa reserves the right to modify, update, improve, replace, suspend, or discontinue Services, features, tools, integrations, pricing, or other aspects of the Platform.

Some features may depend on third-party technologies and may therefore change or become unavailable.

Where appropriate, Auxi Sherpa may provide alternative functionality, but an equivalent replacement is not guaranteed.

The Business Owner remains responsible for all final decisions made using Auxi Sherpa.

Auxi Sherpa provides tools and support; it does not take control of the Business Owner's business.

The Business Owner remains responsible for:

• Business decisions;
• Employees;
• Contractors;
• Customers;
• Finances;
• Taxes;
• Legal compliance;
• Contracts;
• Marketing;
• Advertising;
• Products and services;
• Business registration;
• Regulatory compliance; and
• Overall business operations.

All Auxi Sherpa Services are provided on a best-effort basis.

No statement made by Auxi Sherpa should be interpreted as a guarantee of a specific financial, commercial, employment, marketing, operational, or business result.

Past performance, examples, demonstrations, testimonials, projections, or success stories do not guarantee future results.

Your results will depend on your individual circumstances, actions, decisions, resources, market, industry, customers, competition, and other factors.

By accessing or using Auxi Sherpa, creating an account, purchasing a Service, subscribing to a plan, submitting information, activating an automation, using AI tools, hiring or engaging Staff through the Platform, or otherwise using the Services, you acknowledge that you have read, understood, and accepted this Business Disclaimer.

You acknowledge that:
